 ls Funds\n\nThe Desautels Global Equity Fund\, the Desautels Fixed Income 
 Fund\, and the Desautels Alpha Squared Fund (hereafter: the Desautels Fund
 s)\, together with Desautels Capital Management Inc.\, have been establish
 ed as a pedagogical venture in order to offer students in the Investment M
 anagement Program in the Desautels Faculty of Management at 91ºÚÁÏÍø Univers
 ity some meaningful and realistic experience of the investment management 
 industry and of investment research and analysis by working for Desautels 
 Capital Management Inc. All outstanding shares of Desautels Capital Manage
 ment Inc. are owned by 91ºÚÁÏÍø. Desautels Capital Management Inc
 . has a separately constituted board of directors\, all of whom are indepe
 ndent from 91ºÚÁÏÍø\, and constitutes a separate legal entity having respons
 ibility for its own affairs. The role of 91ºÚÁÏÍø towards Desaute
 ls Capital Management Inc. is limited to the following activities:\n\n(i) 
 appointing independent directors to Desautels Capital Management Inc.’s bo
 ard of directors\; and\n\n(ii) providing limited financial resources and s
 upport to Desautels Capital Management Inc.\, such as office space and all
 owing certain of its officers and employees to serve as officers of Desaut
 els Capital Management Inc. or to carry out certain other functions.\n\nNe
 ither 91ºÚÁÏÍø nor the Board of Governors of 91ºÚÁÏÍø ha
 s the authority or power to act on behalf of Desautels Capital Management 
 Inc. or the Desautels Funds\, or to incur any expenditures on behalf of De
 sautels Capital Management Inc. or the Desautels Funds. Neither 91ºÚÁÏÍø Uni
 versity nor the Board of Governors of 91ºÚÁÏÍø shall be liable fo
 r any debts or obligations of Desautels Capital Management Inc. or the Des
 autels Funds. 91ºÚÁÏÍø is not involved in the daily activities of
  Desautels Capital Management Inc.\, including making investment decisions
 \, and therefore does not take any responsibility for Desautels Capital Ma
 nagement Inc.’s activities. More specifically\, 91ºÚÁÏÍø has no l
 iability under the Units\, does not guarantee or otherwise stand behind th
 e Units nor does it guarantee performance of the Desautels Funds. Any func
 tion or activity of Desautels Capital Management Inc. carried out by indiv
 iduals who are also officers or employees of 91ºÚÁÏÍø is carried 
 out exclusively in the name of Desautels Capital Management Inc. and McGil
 l University shall have no liability as a result thereof.\n
